Business lawyer, Paul Miller provides business legal services to established and start-up Colorado companies.
My firm takes a common sense approach to solving problems and helping clients plan ahead. Besides the law firm, I’ve owned and operated several small businesses myself; including a restaurant, and a skateboard shop. My practical advice is based on years of experience and lessons learned beyond traditional legal training.

Start-Up Phase
During this phase I help the new business owner on what type of business entity would be most appropriate for them, as well as draft and prepare their original documents. Such as an operating agreements, bylaws, shareholder agreements, initial meeting minutes, and others to help them get off on the right foot. I also provide advice on how to keep your business matters separate and apart from your personal matters.
Growth/Maturity Phase
During this stage of the business lifecycle, I help owners with negotiating and drafting contracts. Such as, independent contractor and employment agreements, as well as confidentiality agreements, employment and policy manuals.
I review commercial leases as well as negotiate and draft business agreements. Also, my firm will help you add or remove a member from an LLC.
Additionally, my firm provides outside general counsel giving your business the ability to have legal counsel at your disposal, on an “as-needed” basis.
Dissolution Phase
Finally, I will help you sell, transfer, or wind-down your business. Solutions may include drafting a buy-sell agreements, transfer agreements or filing articles of dissolution with the Colorado Secretary of State.
